Afronding bod NN op Delta Lloyd verwacht in tweede kwartaal 2017

Het bod van verzekeraar NN Group op branchegenoot Delta Lloyd is officieel gelanceerd. In een gezamenlijk persbericht meldden beide ondernemingen vandaag (2 februari 2017) dat de aanmeldtermijn vrijdag begint en loopt tot 7 april. Die termijn kan nog verlengd worden.Aandeelhouders van Delta Lloyd kunnen op 29 maart een bijzondere aandeelhoudersvergadering bijwonen over het bod van €5,40 per aandeel, wat neerkomt op een totale waarde van 2,5 miljard euro .NN Group, het bedrijf achter Nationale-Nederlanden, zal het bod gestand doen wanneer 95% van de stukken zijn aangeboden. Dat is de ondergrens waarbij een grootaandeelhouder een uitrookprocedure kan starten om het restant van de aandelen in handen te krijgen.NN neemt echter ook genoegen met ten minste 67% van de aandelen, op voorwaarde dat de aandeelhoudersvergadering van Delta Lloyd een fusie goedkeurt.Beide ondernemingen en hun ondernemingsraden ondersteunen het bod. Ze verwachten dat het bod in het tweede kwartaal kan worden afgerond, meldt het FD vandaag

Kostenbesparing en merknamen

NN Group zegt te verwachten dat de fusie zal leiden tot een jaarlijkse kostenbesparing van zo’n 150 miljoen euro vanaf 2020. De synergieën worden naar verwachting vooral behaald op Leven en Schade (50 procent) en Bank & Vermogensbeheer (30 procent).Het overige deel van de kostensynergieën wordt naar verwachting behaald via gecentraliseerde functies en andere segmenten.

De merken van NN Group zullen de merken worden van de Gecombineerde Groep. Het merk ‘Delta Lloyd’ zal niet langer actief worden gebruikt voor commerciële activiteiten en zal naar verwachting op een prudente wijze gradueel worden vervangen. De merken ‘OHRA’ en ‘BeFrank’ zullen worden behouden en de Gecombineerde Groep ondersteunt de continuering van het gebruik van het merk ABN Amro door de ABN Amro joint venture. De Gecombineerde Groep heeft de intentie om NN Group’s APF merk (‘De Nationale’) te blijven gebruiken en om Delta Lloyds’s APF brand te discontinueren, aldus het persbericht.

De hoofdkantoren zullen worden gecombineerd op het hoofdkantoor van NN Group in Den Haag. Delta Lloyds locatie in Amsterdam zal blijven bestaan voor een periode van tenminste drie jaren na de aandelenoverdracht. De locaties in Zwolle (ABN Amro) en Arnhem (OHRA) blijven bestaan. meldt VVP vandaag

Publication of Offer Memorandum – Offer to be discussed at Delta Lloyd EGMs on

Transaction highlights

  • The offer is an all-cash public offer for the issued and outstanding ordinary shares in the capital of Delta Lloyd at an offer price of EUR 5.40 (cum dividend) per ordinary share, representing a total consideration of EUR 2.5 billion

With the publication of the Offer Memorandum today, and with reference to the joint press release of NN Group and Delta Lloyd dated 23 December 2016, NN Group and Delta Lloyd jointly announce that NN Group Bidco B.V., a directly wholly-owned subsidiary of NN Group (’the Offeror’) is making a recommended public cash offer to all holders of issued and outstanding ordinary shares in the capital of Delta Lloyd (the ‘Shares’) to acquire their Shares at a price of EUR 5.40 (cum dividend) in cash (the ‘Offer Price’) for each Share (the ‘Offer’).

The Offer

The Offeror is making the Offer on the terms and subject to the conditions and restrictions contained in the offer memorandum dated 2 February 2017 (the ‘Offer Memorandum’). Subject to the Offer being declared unconditional (gestanddoening), holders of Shares (the ‘Shareholders’) tendering their Shares under the Offer will receive the Offer Price in consideration for each Share validly tendered (or defectively tendered provided that such defect has been waived by the Offeror).

 

If, between the date of the Offer Memorandum and the Settlement Date, Delta Lloyd, by any means whatsoever, declares any cash or share dividend or other distribution and the record date for such cash or share dividend or other distribution occurs on or prior to the Settlement Date, then the Offer Price will be reduced by the full amount of such distribution made by Delta Lloyd in respect of each Share (before any applicable withholding tax). For the avoidance of doubt, the interim dividend of EUR 0.10 (ten euro cent) per Share declared by Delta Lloyd and paid on 8 September 2016 will not be deducted from the Offer Price.

 

The Offer values 100% of the Shares of Delta Lloyd at EUR 2.5 billion. The Offer Price represents a premium of approximately 31% over the closing price of EUR 4.12 per Share on 4 October 2016, the last trading day before NN Group initially announced its intention to make an offer for Delta Lloyd. Furthermore it represents a premium of approximately 38% relative to the average closing price during the last month and a premium of approximately 55% relative to the average closing price during the last three months prior to the initial announcement.

 

As previously announced on 23 December 2016, NN Group will be able to pay the consideration of the Offer for an amount of EUR 1.4 billion with cash from its own available resources. For the remainder, NN Group has, subject to customary conditions, committed debt financing made available to it from reputable global financial institutions.

 

Strategic rationale

NN Group and Delta Lloyd believe that a combination of Delta Lloyd and the Dutch and Belgian activities of NN Group (the ‘Combined Group’) is compelling. The Offer and all transactions contemplated therewith (the ‘Transaction’) will result in an overall stronger platform within the Benelux from which to provide enhanced customer propositions and generate shareholder return:

  • Additional scale and capabilities will result in an improved customer proposition within the Dutch pension market;
  • Doubling the size of the non-life insurance business will drive underwriting results and customer experience;
  • The integration of two leading asset management businesses creates additional scale and expertise;
  • Increased size and scale of the banking business, thereby improving the competitive offering to existing and new customers;
  • Doubling the presence in Belgium, leading to a strong life insurance market share with a more diversified offering through additional channels.

 

The Combined Group will be better placed to capture opportunities that technological innovation brings and will provide increased possibilities for knowledge sharing, strengthening capabilities and talent development. It will bring a perspective of growth and lead to opportunities for employees of both companies and will facilitate continuous improvement in customer service and experience.

 

Synergies and cash generation

The Offeror currently estimates cost synergies which will reduce the annual cost base by approximately EUR 150 million pre-tax, expected to be achieved by 2020. This is anticipated to occur in a range of areas including:

 

  • Integration of operational and supporting activities in Life and Non-life, including commercial migration
  • Full integration of Bank & Asset Management
  • Removal of overlap in centralised functions
  • Reduction in project spend

 

The Offeror estimates that approximately half of the cost synergies will be realised in the Life and Non-life segments, while efficiency improvements in the Bank & Asset Management businesses will account for approximately 30% of expected cost synergies. The remainder of cost synergies is expected to be achieved in centralised functions and other segments.

 

Based on its due diligence, NN Group believes that there will be some initial capital synergies from the combination (stemming mainly from diversification benefits) but also expects meaningful negative impacts from the alignment of actuarial assumptions under NN Group ownership. Over time, NN Group sees potential for further capital synergies, the transition of Delta Lloyd’s legal entities onto the NN Group Partial Internal Model, but also the removal of the longevity hedge benefit currently included in Delta Lloyd’s standard formula approach. NN Group will provide additional information on potential cost and capital synergies in due course.

 

Recommendation by Delta Lloyd’s Executive Board and Supervisory Board

After due and careful consideration, both the Delta Lloyd Executive Board and the Delta Lloyd Supervisory Board are of the opinion that the Offer is in the best interest of Delta Lloyd and its stakeholders. As is further set out in Delta Lloyd’s position statement (the ‘Position Statement’), published by Delta Lloyd today, the Delta Lloyd Executive Board and Delta Lloyd Supervisory Board support the Offer and the Legal Merger, recommend to the Shareholders to accept the Offer and to tender their Shares pursuant to the Offer, and recommend voting in favour of all Offer EGM Resolutions and the Legal Merger Resolution.

 

On 23 December 2016, Goldman Sachs issued a fairness opinion to the Delta Lloyd Executive Board and Supervisory Board, and on 22 December 2016 Bank of America Merrill Lynch issued a fairness opinion to the Delta Lloyd Supervisory Board, in each case as to the fairness, as of such date, and based upon and subject to the factors and assumptions set forth in each fairness opinion, that the EUR 5.40 in cash to be paid pursuant to the Offer or the Exchange Ratio of NN Group shares to be issued in connection with the Legal Merger, as applicable, to the holders of Shares, collectively, is fair from a financial point of view to such holders.

 

The full text of these fairness opinions is included in the Position Statement. The opinions of Goldman Sachs and Bank of America Merrill Lynch are given to (i) the Delta Lloyd Executive Board and the Delta Lloyd Supervisory Board and (ii) the Delta Lloyd Supervisory Board, respectively, and not to the Shareholders. As such, the fairness opinions do not contain a recommendation to the Shareholders as to whether they should tender their Shares under the Offer or how they should vote or act with respect to the Legal Merger or any other matter.

 

Further undertakings

NN Group and Delta Lloyd have agreed to certain covenants in respect of corporate governance, post-closing legal merger, strategy, organisation, integration and employees for a duration of three years after settlement (the ‘Non-Financial Covenants’).

 

Delta Lloyd Executive Board

As of the Settlement Date, Mr Abrahams, Ms Mijer and Mr van Riet shall continue to serve on the Delta Lloyd Executive Board and will remain in office for as long as appropriate. In addition, two additional members identified by the Offeror, being Mr Knibbe and Ms van Vredenburch, will, subject to the Offer having been declared unconditional and completion of the applicable formal corporate procedures, be appointed to the Delta Lloyd Executive Board by the Delta Lloyd Supervisory Board as of the Settlement Date. Furthermore, subject to the Offer having been declared unconditional, Mr Knibbe will be the CEO of Delta Lloyd as of the Settlement Date. The Delta Lloyd Works Council supports the nomination of these new members of the Executive Board. Their appointment has been approved by the Dutch Central Bank (DNB) and the AFM.

 

When members of the Delta Lloyd Executive Board leave office, the Offeror will respect the agreed notice period as well as the existing severance arrangements. In line with the Dutch Corporate Governance Code the existing severance arrangements provide for a severance payment of no more than one year’s salary.

Mr Van der Noordaa will, subject to the Offer having been declared unconditional and effective as per the Settlement Date, resign as member of the Delta Lloyd Executive Board. In connection with his resignation Mr Van der Noordaa will receive a severance payment of EUR 950,000, which amount is, in line with the Dutch Corporate Governance Code, no more than one year’s salary.

 

Delta Lloyd Supervisory Board

Subject to the Offer being declared unconditional and the relevant resolutions having been adopted at the Offer EGM, the Delta Lloyd Supervisory Board will as of the Settlement Date consist of Mr Friese, Mr Rueda and Mr Erasmus, Mr Ruijter and Ms Streit. Mr Ruijter and Ms Streit (the ‘Continuing Members’) shall qualify as independent within the Dutch Corporate Governance Code. Mr Ruijter shall continue to be the chairman of the Delta Lloyd Supervisory Board. The Delta Lloyd Executive Board and the Delta Lloyd Works Council support the nominations. The Delta Lloyd Works Council has selected Mr Ruijter to qualify as member of the Delta Lloyd Supervisory Board appointed pursuant to its enhanced right of recommendation as from the Settlement Date. It follows that the enhanced right of recommendation of the Delta Lloyd Works Council does not apply to the vacancies for which Mr Friese, Mr Rueda and Mr Erasmus have been nominated for appointment. The appointment of Mr Friese, Mr Rueda and Mr Erasmus has been approved by DNB and the AFM.

HDI verkoopt deel schadeportefeuille aan De Goudse

Verzekeraar HDI heeft per 31 januari 2017 een deel van zijn zakelijke schadeportefeuille aan De Goudse verkocht aan De Goudse. Het gaat onder andere om aansprakelijkheid-, brand-  en inventarisverzekeringen.Volgens manager director Joost Vink past de verkoop van de schadeportefeuille bij de strategie en positionering die HDI voor de Nederlandse markt heeft gekozen, meldt AM.

Marcel Moons, bestuurslid Verzekeringen & Operaties van De Goudse, stelt in hetzelfde artikel dat de portefeuille goed aansluit bij het profiel van De Goudse. “De nieuw verworven portefeuille vormt een mooie uitbreiding met zakelijke schadeverzekeringen, onder andere op het gebied van aansprakelijkheid, brand, inventaris/goederen, CAR/montage, werkmaterieel en motorrijtuigen.”

Innovatie in de zakelijke verzekeringsmarkt!

 

Volmachtbedrijf PURE B.V. uit Amsterdam start met uniek online aanbod voor de zakelijke markt.

 

Onder het label PURE2insure heeft PURE de innovatieve website www.pure2insure.nl ontwikkeld voor zakelijke schadeverzekeringen. Hiermee kunnen bedrijven, maar ook ZZP’ers, VVE’s en sport- en recreatieverenigingen op eenvoudige wijze schadeverzekeringen rechtstreeks bij PURE afsluiten, zonder tussenkomst van een adviseur (execution only).

 

Onderzoek heeft uitgewezen dat meer dan 40% van de bedrijven op zoek is naar een mogelijkheid om zijn verzekeringen via internet af te sluiten. Tot nu toe ontbrak daarvoor een simpele, doeltreffende oplossing.

 

Mede-oprichter Dick Scheepvaart spreekt dan ook van een zeer concurrerende propositie. “Wij zijn de eerste aanbieder in de markt die op een efficiënte en voor de klant begrijpelijke manier een volledig palet aan dekkingen beschikbaar stelt. Lloyd’s Coverholder

PURE is ‘Approved Coverholder’ bij het fameuze Lloyd’s in Londen. Deze bijzondere situatie stelt PURE in staat om een aantal zelf ontwikkelde verzekeringsoplossingen op een vernieuwende wijze aan te bieden. “Wij geloven dat de schadeverzekeringsmarkt veel efficiënter kan functioneren als de markt zich openstelt voor innovatie. Met de lancering van PURE2insure hebben wij daartoe een aanzet gegeven”, benadrukt mede-oprichter Marco Worms.

 

Het aanbod

Het zakelijke productassortiment van PURE2insure bestaat uit brand- en aansprakelijkheidsdekkingen. Ook transport- en ongevallen verzekeringen maken onderdeel uit van dit assortiment. Daarnaast zal het aanbod nog dit jaar worden uitgebreid met bijzondere dekkingen, waaronder die voor cybercriminaliteit en beroepsaansprakelijkheid.

De producten van PURE2insure worden in volmacht gesloten. Risicodragers zijn Lloyd’s Syndicaten en China Taiping Insurance (UK) Co. Ltd.

Advies

PURE2insure biedt zijn producten online en rechtstreeks aan op basis van execution only. Via de website wordt de klant zo uitgebreid mogelijk geïnformeerd, opdat deze zelf een verantwoorde keuze kan maken. Desondanks staat het de klant geheel vrij om zich te laten bijstaan door een financieel dienstverlener. Onderling kunnen zij daarvoor een vergoeding afspreken. Daarmee heeft ook de financieel dienstverlener toegang tot het aanbod van PURE2insure.

 

De website www.pure2insure.nl, ontwikkeld in samenwerking met ICT-dienstverlener OpenC en softwareleverancier realXS, is afgelopen week gelanceerd.

 

Stichting toetsing verzekeraars start  thema-onderzoek fraude in  februari

Dit jaar staat bij de Stichting toetsing verzekeraars (Stv) in het teken van afronding van de cyclus met thema-onderzoeken. Dat betekent dat de Stv begin 2018 alle keurmerknormen heeft  getoetst bij de keurmerkhouders. Maar voordat het zo ver is, kunnen de keurmemrkhoduers een aantal malen een bezoek van Stv-medewerkers verwachten bij keurmerkhouders langs. In een vandaag (30 januari jl.) verschenen nieuwsbrief meldt de Stv een overzicht van de thema-onderzoeken die nog volgen.

Thema-onderzoek Fraude

Eind 2016 hebben alle keurmerkhouders de informatie-uitvraag over het thema Fraude van het Stv ontvangen. Dit thema-onderzoek richt zich op de norm over fraudebeleid. Tijdens dit thema-onderzoek richt de Stv zich op het fraudebeleid en de daadwerkelijke fraude-aanpak van de keurmerkhouders. Vanaf eind februari zullen de eerste bedrijfsbezoeken voor dit thema plaatsvinden en in de zomer van 2017 kunt u de overkoepelende themarapportage tegemoetzien.

In de zomer van dit jaar start de Stv het thema-onderzoek Kwaliteitsbeleid , waarin wordt ingegaan op normen Kwaliteitsbeleid, Interne kwaliteitsaudits en Klanttevredenheidsonderzoek. Daarin wordt in elk geval de rapportage wrden opgevraagd van de meest recente interne audit, conform de eis bij norm 13 Interne kwaliteitsaudit. Enkele keurmerkhouders hebben niet kunnen meedoen met een van de thema-onderzoeken, bijvoorbeeld omdat zij een onderzochte verzekering niet verkopen. Bij deze keurmerkhouders zal de Stv in 2017 die relevante normen ook nog toetsen, zodat eind 2017 de beoordeling van alle normen zijn afgerond. Daarnaast wordt dit jaar gebruikt  om eventuele herbeoordelingen op recente thema’s te doen.

Met betrrekking tot het jaar 2018 en verder  stelt de Stv: “Na 2017 is de beoordelingscyclus met thema-onderzoeken afgerond. Om te bepalen hoe wij onze onderzoeken daarna verder zullen vormgeven, hebben wij een klankbordgroep samengesteld. Deze klankbordgroep bestaat uit elf bestuurders en directeuren van keurmerkhouders; groot en klein, uit alle branches. In 2017 zal de klankbordgroep input geven over de normen van het Keurmerk en de toetsing daarvan na 2017. De eerste bijeenkomst van de klankbordgroep staat eind februari gepland. Wij houden u in deze nieuwsbrief op de hoogte van ontwikkelingen uit de klankbordgroep.”

Vivat leidt elf medewerkers op tot big data-experts

Verzekeraar Vivat gaat elf  medewerkers opleiden tIt big data-expert. Zij gaan  gaan de Data Expert-opleiding volgen bij de Jheronimus Academy of Data Science (JADS). De VIVAT Academy is de eerste businesspartner aan wie JADS een maatwerk Masteropleiding aanbiedt.Hiermee wil de verzekeraar beter kunnen inspelen op de klant en beter risico’s kunnen inschatten en voorspellende analyses kunnen maken.

Daarnaast kunnen er nog betere risico-inschattingen en voorspellende analyses worden gemaakt. De VIVAT Academy is de eerste business partner aan wie JADS een maatwerk Masteropleiding aanbiedt” zegtBart Rentenaar, IT manager Data bij Vivat: “Het belang van data- en informatieanalyse neemt in de huidige maatschappij steeds meer toe en zal ook binnen Vivat een steeds grotere rol gaan spelen. De beschikbare data kunnen we nog beter gebruiken voor vele toepassingen in onze dagelijkse werkzaamheden. De centrale vraag is: welke informatie zit in de beschikbare data en hoe kunnen we hier nog beter de klant mee bedienen.”

Nieuw initiatief

De Vivat Academy is een nieuw initiatief van de verzekeraar. “Hiermee willen we een plek creëren waar continu ontwikkelen voorop staat en waarin we van elkaar kunnen leren. De elf medewerkers van verschillende bedrijfsonderdelen, met een diverse achtergrond, zijn inmiddels begonnenaan de Data Expert opleiding. Hier gaan ze aan de slag met cases uit de dagelijkse praktijk. Onderwerpen zoals fraudedetectie, (klant-)risicomodellen, analyses van het klantsentiment, prijsstrategieën, retentiemodellen en analyses voor nieuwe producten en diensten. Belangrijke onderdelen van de opleiding zijn daarnaast het ethische aspect en de privacywaarborging van klanten.

 

 Jheronimus Academy of Data Science (JADS) is een samenwerking tussen de Provincie Noord-Brabant, de gemeente ‘s-Hertogenbosch, Universiteit van Tilburg en de Technische Universiteit Eindhoven. De opleiding biedt verschillende bachelor- en masterprogramma’s aan op het gebied van data science.
